Bill has over 25 years'
experience representing companies and individuals in business
and real estate matters, with an emphasis upon entity formation;
shareholder agreements; sales and acquisitions of business assets
and real property; environmental liabilities; real and personal
property secured transactions; federal and state tax planning
for business transactions; commercial disputes; and estate planning
for business owners and others.
Among other significant client responsibilities, Bill has represented
corporations, partnerships, and limited liability companies on
choice of entity, formation, and operational issues; has prepared
agreements among shareholders or other owners; has assisted sellers
and buyers in the negotiation and acquisition of retail, manufacturing,
and service businesses, as well as commercial, industrial, or
other investment property, improved or as raw land; has represented
potentially responsible parties/potentially liable parties in
connection with environmental liabilities under CERCLA and MTCA;
has represented lenders and borrowers in the negotiation and
documentation of commercial loan transactions secured by real
and personal property, as well as foreclosing or otherwise realizing
upon collateral; has drafted leases and represented landlords
and tenants with respect to commercial, office, and industrial
leases; and has advised individuals with respect to estate planning
and the use of trusts and family-owned business entities as tax
planning devices. Bill also represents clients in disputes and
